Terms of Service

These Terms of Service (the "Terms") govern your access to and use of LayerAxon Studio (the "Service"), operated by LayerAxon ("we", "us", or "our"), a company organised under the laws of the United Kingdom. By creating an account or using the Service, you ("you" or the "User") agree to be bound by these Terms.
1. The Service
LayerAxon provides AI-powered image generation, layered PSD pipelines, brand-kit management, and related creative tools delivered through a hosted web application.
2. Eligibility & Accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to create an account. You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for all activity under your account.
3. Credits, Tiers & Billing
New accounts receive a free credit allowance. Additional credits and paid tiers may be purchased from time to time. Credits are non-transferable and non-refundable except as required by applicable law. Pricing, included usage, and tier features are described on the Service and may change with reasonable prior notice.
4. Acceptable Use
You agree not to use the Service to generate, store, distribute, or attempt to generate:
- Sexual content involving minors, or any content that exploits or endangers children;
- Non-consensual intimate imagery, deepfakes intended to deceive, or content created to harass, defame, or impersonate a real person;
- Content promoting terrorism, mass violence, self-harm, or illegal activity;
- Malware, spam, phishing material, or content that infringes the intellectual property or privacy rights of others.
We reserve the right to suspend or terminate accounts, and to remove content, that violates these rules or applicable law.
5. Intellectual Property in Generated Content
Subject to your compliance with these Terms and your payment of any applicable fees, you retain ownership of the prompts you submit and the generated outputs you create using the Service. You grant us a limited, worldwide, royalty-free licence to host, store, transmit, and display your content solely as needed to operate, secure, and improve the Service.
AI-generated content may not be eligible for copyright protection in all jurisdictions. You are solely responsible for ensuring that your use of generated content complies with applicable law and any third-party rights (including model-licence and trademark rights).
6. Our Intellectual Property
All right, title, and interest in and to the Service — including but not limited to its source code, software architecture, user interface, visual identity, documentation, and all derivative works — are and shall remain the exclusive property of the Founder of LayerAxon and his successors and assigns. The Service is protected by copyright, trade-mark, trade-secret, database, and other intellectual-property laws of the United Kingdom and international treaties.
Without limiting the foregoing, the following are expressly identified as proprietary works and trade secrets of the Founder, and may not be copied, reverse-engineered, decompiled, disassembled, scraped, mirrored, fine-tuned, or used to train any model without express prior written consent:
- The brand name "LayerAxon", the wordmark "LayerAxon Studio", all associated logos, gradients, and visual marks (collectively, the "Marks");
- The "Iron Curtain" multi-layer security and anti-fraud system, including its decoy routing, behavioural fingerprinting, sentinel scoring, and adaptive shield architectures;
- The proprietary AI orchestration workflows, prompt-engineering pipelines, layered-PSD generation engine, brand-DNA extraction system, batch worker, live canvas compositor, and architect self-healing loop;
- The Axon conversational support agent, its routing logic, and its keyword flagging system;
- All training data, prompt templates, configuration files, telemetry schemas, and deployment tooling created in connection with the Service.
We grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service strictly in accordance with these Terms. No other rights are granted by implication, estoppel, or otherwise. Any unauthorised use of the Marks or proprietary technology will be prosecuted to the fullest extent permitted by law.
6A. Copyright Infringement & DMCA Policy
We respect the intellectual-property rights of others and expect our users to do the same. We will respond to clear notices of alleged copyright infringement that comply with the United States Digital Millennium Copyright Act ("DMCA") and equivalent United Kingdom and European Union legislation. 7. Privacy
Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.
8. Service Availability & Changes
We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
9. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) GBP 100. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11. Termination
You may close your account at any time. We may suspend or terminate your access for material breach of these Terms, suspected fraud or abuse, or where required by law. Sections that by their nature should survive termination (e.g., IP, disclaimers, liability limits) will survive.
12. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory consumer-protection law in your country of residence provides otherwise.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Your continued use after such changes constitutes acceptance.
